Tom Curtis, Dennis Leone, Conni Ramser: Motion issues at Board meeting

Great questions Tom.......and your assessment is precisely the way I felt at the time. I recall both Brown and Ramser saying something to the effect that my addendum motion made too much of a substantive change to the original motion by Meyers. Once last month, Dr. Buser made a addendum motion that I seconded, and it passed. (It had to do with insuring that Medicare premium increases had the same 3% increase as non Medicare policy holders.) That addendum, in my opinion, was every bit of a major change as my addendum. In fact, if you recall, my motion simply said that PRIOR to implementation of the settlement, the Board should FIRST do something more. In essence, I was simply adding a preliminary step to the original motion.......and I carefully drafted it with that in mind.

Hello Conni,
So, if Dr. Leone did not agree with that motion, which he obviously did not, then he has the right to offer an alternative as an addendum, does he not? So Is it my understanding then, that even though Dr. Leone did not agree with the motion, he was to remain quiet and not rock the boat. Is that correct?
Now I think I fully understand what you and Dr. Brown told the board when you took your positions. You essentially indicated that you would not accept anyone going against what the rest of the board has, in your mind, already decided. Is that correct?
Question unanswered from prior email: Would you please provide me with your thoughts about his motion? What was your objection and why did you feel he did not have the right to propose his addendum?

Tom, The issue was about settling the PBI lawsuit according to the terms presented by the attorneys. Dr. Leone's motion was not part of the attorney's recommendation. . CR

I clearly understand what your motion was. Please read my questions again and respond. Tom

My motion was to allow the board to deal with the PBI litigation as presented by the attorneys. As you know I voted against that part of the settlement.

Hello Conni,
Your immediate reaction to Dennis Leone's addendum motion on Thursday, concerning the non-investment motion, actually shocked me.
Would you please provide me with your thoughts about his motion? What was your objection and why did you feel he did not have the right to propose his addendum?
I will be very honest in saying that you and Dr. Brown are beginning to cause concern amongst more then one organization that attends the board meetings regularly. Objecting to something in a legitimate manner is one thing, but calling someone out of order when they are not out of order is inexcusable. Telling someone how he or she must present what they have to say and then immediately objecting to what they are saying, even before they have completed what they were presenting is inexcusable.
I will await your comments. I realize these are very direct questions, but I do hope you will take the time respond.
Thank you,
Tom Curtis
